In the legal architecture of the company the articles of association are the official backbone while the shareholders' agreement is often its strategic shadow. Through a rigorous well-documented analysis this book explores the unique place of shareholders' agreements in relation to the company's articles of association highlighting the tensions complementarities and conflicts that can arise.Based on in-depth case law research particularly in the context of Tunisian law the book highlights the practical issues involved in the coexistence of these two instruments.
